IntroductionThese Terms & Conditions (“Terms”) govern your access to and use of the websites, products and services offered by MerCoNext Pte. Ltd. (“MerCoNext”, “we”, “us”, “our”). By using our Services, you agree to these Terms.

Our ServicesMerCoNext operates a business-introduction and matching platform that connects clients with third-party professionals and service providers in Singapore and other jurisdictions (“Experts”). We are not a law firm, accounting firm, or immigration agency, and we do not provide legal, tax, accounting, or immigration advice. Any engagement is entered into directly between Client and Expert.

Eligibility & AccountsYou must be able to form a legally binding contract to use the Services. You are responsible for your account credentials, the accuracy of information you provide, and compliance with these Terms.

Fees, Payments & RefundsWhere applicable, you agree to pay fees quoted for subscriptions, introductions, or success-based/transactional services. Payments may be processed by third-party processors (e.g., Stripe). Taxes, bank fees and currency charges are your responsibility. Except where required by law or expressly stated otherwise, fees are non-refundable.

No Professional Advice; No AgencyInformation on our Services is for general information only and is not professional advice. MerCoNext is an independent platform; we are not an agent, partner, joint venturer, employer, or insurer of any user or Expert.
6.
Independent Experts; Client–Expert ContractsExperts are independent third parties. We do not control or warrant their qualifications, licenses, insurance, availability, pricing, or work product. You are solely responsible for due diligence and for the terms you agree with any Expert.
7.
Ratings, Reviews & User ContentYou may submit reviews or other content that is lawful, accurate, and non-infringing. You grant MerCoNext a non-exclusive, worldwide, royalty-free license to host, use, reproduce, and display such content in connection with the Services.
8.
Acceptable UseYou must not: (a) violate laws or third-party rights; (b) misuse or interfere with the Services or security; (c) use the Services to post or transmit harmful, deceptive, or illegal content; (d) attempt to reverse engineer or scrape without permission.
9.
Intellectual PropertyAll content, trademarks, and software in the Services are owned by or licensed to MerCoNext. Except as permitted by law, you may not copy, modify, or create derivative works without prior written consent.
10.
PrivacyOur Privacy Policy explains how we collect, use, disclose, and protect personal data. By using the Services, you consent to our data practices as described there.
11.
Third-Party ServicesThird-party links and services (including payment processors) are subject to their own terms and privacy policies. We are not responsible for third-party acts or omissions.
12.
DisclaimersThe Services are provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties (express or implied).
13.
Limitation of LiabilityOur aggregate liability will not exceed the greater of (a) the amount you paid to MerCoNext in the 3 months preceding the claim, or (b) SGD 500.
14.
IndemnificationYou agree to indemnify and hold harmless MerCoNext from any claims, damages, liabilities, costs, and expenses (including legal fees) arising out of your use of the Services.
15.
Suspension & TerminationWe may suspend or terminate access if you violate these Terms or applicable law.
16.
ChangesWe may update these Terms. Continued use after changes constitutes acceptance.
17.
Dispute ResolutionDisputes unresolved in 30 days will go to mediation at the Singapore Mediation Centre. Courts of Singapore have exclusive jurisdiction.
